Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using any services provided by Kentunez Music ("Kentunez," "we," "us," or "our"), you ("Artist," "you," or "your") acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you must immediately discontinue use of our platform and services.

2. Description of Service

Kentunez is a digital music distribution platform that enables independent artists and labels to upload, manage, and distribute their musical works to over 150 streaming platforms and digital stores worldwide, including but not limited to Spotify, Apple Music, YouTube Music, TikTok, Deezer, Boomplay, Amazon Music, Tidal, and Shazam. Our services include content delivery, metadata management, analytics reporting, royalty collection, and related tools accessible through your dashboard.

3. User Accounts & Eligibility

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account. If you are between 13 and 18 years old, you may use the service only with the involvement and consent of a parent or legal guardian who agrees to be bound by these terms.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. You agree to notify Kentunez immediately of any unauthorized access or security breach. We reserve the right to suspend or terminate accounts involved in unauthorized activity.

Each individual or entity may maintain only one active account. Creating multiple accounts to circumvent restrictions, abuse promotions, or manipulate the platform is strictly prohibited.

4. Content Ownership & Intellectual Property

You retain full ownership of all music, artwork, metadata, and other content ("Content") that you upload to Kentunez. We do not claim any ownership rights over your intellectual property.

By uploading Content, you represent and warrant that: (a) you are the sole creator and owner of the Content, or you have obtained all necessary rights, licenses, and permissions from all rights holders; (b) the Content does not infringe upon or violate any third-party intellectual property rights, including copyrights, trademarks, or rights of publicity; (c) you have the legal authority to grant the licenses described herein.

You are solely responsible for any claims, disputes, or legal actions arising from the Content you upload.

5. Distribution Agreement

By submitting Content for distribution through Kentunez, you grant Kentunez a non-exclusive, worldwide, royalty-free license to reproduce, distribute, transmit, publicly display, publicly perform, and make available your Content solely for the purpose of delivering it to the streaming platforms and digital stores you select ("Distribution License").

• Territory & Scope: Worldwide, based on selected stores.
• Duration: Active while content is live; takedown requests generally process in 3–14 business days depending on store.
• Non-Exclusivity: You may distribute elsewhere provided no duplicate listing/ISRC conflicts.
• Rights Granted: Only minimum rights needed for distribution operations.
• Quality Control: We may reject, delay, or remove content that fails requirements or violates guidelines.

6. Prohibited Content & Conduct

You agree not to upload content that infringes rights, uses unauthorized samples, promotes hate/violence, contains malware, violates law, or includes fraudulent/restrictive behavior.

Violation may result in immediate content removal, account suspension, forfeiture of unpaid royalties, and possible legal action.

7. Subscription Plans & Fees

Kentunez offers subscription-based access. Current plans include Starter (KES 450/month or KES 2,500/year), Growth (KES 550/month or KES 4,500/year), and Pro (KES 800/month or KES 7,200/year). Pricing/features may change with reasonable notice.

Subscriptions bill at the start of each cycle. Upgrades apply immediately; downgrades apply at period end. If subscription expires, existing releases may remain live, but premium capabilities are limited until renewal.

8. Non-Refundable Payment Policy

ALL PAYMENTS MADE TO KENTUNEZ ARE FINAL AND STRICTLY NON-REFUNDABLE. This applies to monthly/annual plans, top-ups, distribution fees, and all other charges.

Non-refundable scenarios include change of mind, not using the service, dissatisfaction, suspension for policy violations, accidental duplicate payment, or cancellation before period end.

If you believe a payment occurred due to a technical platform error (not user error), contact support@kentunez.com within 48 hours for discretionary review.

9. Payments & Royalties

Royalties are collected from platforms based on their payout models and performance, processed monthly, and reflected in your dashboard. Withdrawals are available once minimum thresholds are met via supported methods (region dependent).

Kentunez does not take royalty commission; your subscription fee is the platform cost. Store reporting can lag by 30–60 days.

10. Termination

You may terminate your account at any time by contacting support@kentunez.com. Upon termination, takedown requests are initiated and accrued unpaid royalties may be requested within 30 days.

Kentunez may suspend/terminate without notice for violations, fraud, repeated infringement claims, or harmful conduct. On termination for cause, we may withhold unpaid royalties as permitted by law.

11. Limitation of Liability

To the maximum extent allowed by law, Kentunez is not liable for indirect, incidental, consequential, or punitive damages. Total aggregate liability is limited to amounts paid by you in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Kentunez and its affiliates against claims, liabilities, losses, and costs arising from your use of the service, your content, or your breach of these terms.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Kenya. Parties will first attempt good-faith negotiation. If unresolved within 30 days, disputes may be submitted to binding arbitration under NCIA rules in English.

14. Changes to These Terms

We may update these terms at any time. Material changes are communicated at least 14 days before effect via email and/or in-platform notices. Continued use constitutes acceptance of updates.

16. Partner & Artist Terms

Kentunez supports both standard artist accounts and approved partner accounts. Artist accounts are governed by the subscription, billing, and feature limits defined in these Terms. Partner accounts may receive custom or sponsored access as defined in separate written agreements with Kentunez.

Partner privileges are account-specific, non-transferable, and may be modified, suspended, or revoked if policy violations occur, if partnership criteria are no longer met, or if required compliance checks fail. Unless otherwise agreed in writing, all distribution, content ownership, prohibited content, and indemnification clauses in these Terms apply equally to both Partner and Artist users.
